This Agreement is entered into between the parties listed in Schedule A, effective as of the date last signed below.

Each party shall maintain adequate insurance coverage throughout the term of this engagement. The indemnification clause shall survive termination of this agreement and remains binding for a period of three years following expiry.

Neither party shall be liable for indirect or consequential damages arising from a breach of these terms.
